1. Acceptance of terms

By accessing or using NexaTools (nexatools.in), its browser utilities, or its APIs, you agree to these Terms of Service and our Acceptable Use Policy. If you do not agree to these Terms, please discontinue use of the site.

2. Browser-local and network-backed utilities

Many tools on NexaTools run directly inside your web browser, meaning file operations occur in device memory. However, features such as URL shortening, encrypted file sharing (NexaShare), Google Drive uploads (NexaVault), peer-to-peer signaling, AI batch planning, disposable email, remote code compilation, and domain/IP/package lookups transmit data to NexaTools servers or external service providers. Review our Privacy Policy before using networked tools with sensitive data.

3. User content and permissions

You retain all ownership rights to the files, code, and text you process through NexaTools. You represent that you have the lawful right to process, upload, or share any content you submit. When you use a network-backed tool, you grant NexaTools and its infrastructure providers a limited, non-exclusive permission solely to transmit, store, or process the payload as needed to execute that feature.

4. Acceptable use and rate limits

You may not use NexaTools to distribute malware, host phishing links, send spam, infringe intellectual property, bypass security controls, or probe third-party networks without authorization. See our Acceptable Use Policy for full rules.

To keep the platform available for everyone, we enforce automated rate limits and payload caps (such as per-IP request limits on URL creation and daily per-email upload limits on file sharing). We may modify these thresholds or block abusive traffic at any time without notice.

5. Encryption and key management

Tools such as NexaShare and NexaVault perform AES-GCM encryption in your browser before transmitting ciphertext. You are solely responsible for safeguarding share URLs, decryption keys, and passwords. Because NexaTools does not store your plaintext decryption keys, we cannot recover encrypted files if you lose your key or full share link.

6. No archival guarantee and output verification

NexaTools is a utility platform, not a backup or permanent storage service. Always keep independent copies of your original files and verify the accuracy of any conversion, calculation, script, or generated output before relying on it in production, financial, legal, or academic contexts.

7. Third-party services

Certain tools integrate with external APIs and infrastructure providers (including Cloudflare, Google, Microsoft, GitHub, Mail.tm, and Compiler Explorer). We do not control third-party uptime or data practices, and your use of those integrations is also subject to the respective provider's terms.

8. Commercial software development engagements

When you engage NexaTools for custom software development, web application engineering, or technical consulting, the engagement is governed by any written Statement of Work (SOW) or invoice agreed between us, supplemented by the following standard commercial terms:

• Scoping & Milestone Deposits: Unless otherwise stated in a written agreement, custom development projects require a 30% upfront deposit to reserve engineering time and begin technical work, with the remaining 70% balance due upon your review and sign-off on the staging environment prior to final production deployment and source-code transfer.
• Payment Processing: Commercial invoices and voluntary platform donations are processed through third-party payment providers (such as Dodo Payments or Plisio). NexaTools does not store payment card numbers, CVVs, or banking credentials.
• Intellectual Property Transfer: Upon full payment of all agreed project invoices, ownership of the custom deliverables created specifically for your project transfers to you, subject to the licenses of any underlying open-source packages used.
• Refunds & Statutory Rights: Because custom engineering hours and technical scoping are expended as work progresses, milestone payments for commenced or approved work are non-refundable except as expressly agreed in writing, in the event of a verified duplicate billing error, or where a refund is required under mandatory applicable consumer protection law. 9. Intellectual property and copyright notices

The NexaTools name, branding, site design, and proprietary code are protected by copyright and applicable intellectual property laws. NexaTools is not an open-source project unless a specific component is explicitly marked with an open-source license. Copyright takedown requests should be submitted in accordance with our DMCA & Copyright Policy.

10. Disclaimer of warranties

To the maximum extent permitted by applicable law, NexaTools and all tools are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Nothing in these Terms excludes or restricts any statutory consumer right or warranty that cannot be lawfully excluded.

11. Limitation of liability

To the maximum extent permitted by applicable law, NexaTools and its operator shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, profits, or business arising out of or related to your use of the service. Where liability cannot be lawfully excluded, our total aggregate liability shall not exceed the greater of the amount you paid to NexaTools for the specific service giving rise to the claim in the preceding three (3) months or INR 1,000 (or equivalent), except where mandatory law prohibits such a cap.

12. Governing law and contact
